Terms of Service

Effective Date: June 15, 2026

Elite Coinage Co. is committed to providing authentic products, transparent information, innovative technology, and exceptional customer service to collectors and precious-metals enthusiasts worldwide. These Terms of Service (the “Terms”) explain the relationship between you and Elite Coinage Co. (“Elite Coinage,” “the Company,” “we,” “us,” or “our”) so that we can serve you fairly while protecting both our customers and our business. They are a binding agreement, so please read them carefully—including the sections on how orders are formed, the limits of our liability, and how disputes are resolved through arbitration.

Important: Elite Coinage Co. is a retailer of collectibles and precious-metal products. We do not provide investment, financial, securities, portfolio, legal, tax, or appraisal advice, and nothing we publish—including any output from Forym™—is a recommendation to buy, sell, or hold any item, or a prediction or guarantee of future value. Collectible and precious-metal prices fluctuate, and past performance does not indicate future results. See Sections 15 and 16. These Terms also include a binding arbitration agreement and class-action waiver (Section 31).

1. Introduction and Scope

These Terms apply to elitecoinage.com, elitecoin.co, and forym.co, together with all of our current and future domains, subdomains, mobile applications, APIs, software, customer portals, AI systems and features, email communications, SMS messages, and other digital products and services we operate, now or in the future (collectively, the “Services”). The Services are designed to evolve—new AI capabilities, APIs, applications, and software we introduce are included automatically. By using any part of the Services, you agree to these Terms.

2. Definitions

  • “Services” has the meaning given in Section 1.
  • “Products” means the items we offer for sale, including numismatic coins, bullion in gold, silver, platinum, and palladium, paper currency, medals, exonumia, collecting supplies, and related collectibles.
  • “Forym™” means Elite Coinage Co.’s proprietary AI-powered commerce, research, education, product-discovery, customer-engagement, and customer-support platform, described in Section 14.
  • “Content” means text, images, photography, data, descriptions, software, and other materials made available through the Services.
  • “you” means the person or entity using the Services.

3. Acceptance of These Terms

By accessing the Services, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Shipping & Returns Policy, each incorporated here by reference. If you do not agree, please do not use the Services. If you are using the Services on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms.

4. Eligibility

You must be at least 18 years old and able to form a legally binding contract to purchase from us or to maintain an account. The Services are intended for users in the United States; if you access them from elsewhere, you are responsible for complying with your local laws, and certain features or shipping options may not be available to you.

5. Electronic Communications and Signatures

By using the Services, you consent to receive communications from us electronically—including emails, SMS or text messages (where you opt in), in-app and on-site messages, and other electronic notices. You agree that all agreements, notices, disclosures, receipts, order confirmations, and other communications we provide electronically satisfy any legal requirement that they be in writing.

You also agree that your electronic actions—such as clicking “I agree,” placing an order, or otherwise using the Services—constitute your electronic signature and have the same legal effect as a handwritten signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and similar laws. You may withdraw consent to receive non-essential electronic communications by contacting us, though doing so may prevent you from using parts of the Services.

6. Your Account

Some features require an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity that occurs under your account. Tell us promptly at cs@elitecoinage.com if you suspect any unauthorized use. We may suspend or close an account that we reasonably believe has been compromised, is being used in violation of these Terms, or is associated with fraud or other unlawful activity.

7. Acceptable Use and System Integrity

When using the Services, you agree not to:

  • violate any law or regulation, or infringe anyone’s rights;
  • submit false, misleading, or fraudulent information, or use another person’s payment or identity details;
  • resell, duplicate, scrape, harvest, or exploit the Services or our Content except as we expressly permit; or
  • use the Services to launder money, evade sanctions, or otherwise transact unlawfully.

You further agree that you will not, and will not attempt to, probe, scan, or test the vulnerability of the Services; breach, disable, or circumvent any security, authentication, rate-limiting, bot-detection, or access-control measure; gain unauthorized access to any account, system, network, or data; reverse engineer, decompile, or disassemble any part of the Services except to the limited extent the law allows; introduce malware or harmful code; overload or interfere with the Services through denial-of-service or similar techniques; or use bots, scrapers, or other automated means to access the Services except as we expressly authorize. We may investigate and take legal action against any conduct that violates this Section.

8. Our Products and How We Sell

Elite Coinage Co. is an independent retailer and is the seller of all Products offered through the Services unless we expressly state otherwise. The Services are not a marketplace or auction platform. There are no third-party sellers, and customers cannot create listings. When you buy from us, you are buying directly from Elite Coinage Co.

8.1 Product Descriptions, Images, and Photography

We work hard to describe and photograph Products accurately. Even so, descriptions, specifications, weights, grades, populations, mintage figures, and images are provided for general reference and may contain errors, omissions, or approximations. Photographs are illustrative and are not warranties. The actual color, finish, toning, and appearance of an item can differ from what you see on screen because of lighting, scale, photography, protective holders, and differences in monitor and device settings, and the item you receive may vary slightly from the image shown. For graded items, the assigned grade and the grading service’s certification are the controlling description of condition.

8.2 Availability and Inventory

Product availability is not guaranteed. Inventory counts can change quickly and may occasionally be inaccurate due to timing, synchronization, or supplier issues. Listing a Product is an invitation to purchase, not an offer that binds us, and does not guarantee that the Product is in stock or will be fulfilled.

9. Pricing, Market Volatility, and Precious-Metal Pricing

Prices are shown in U.S. dollars and may change at any time without notice. We make every effort to price and present Products correctly, but errors can occur. Pricing, availability, product descriptions, photographs, and checkout totals may contain typographical, display, synchronization, or data-feed errors, and we may correct them at any time, including after an order is submitted.

Many Products contain precious metals or are sensitive to collector demand, and their prices move continuously with the market. Prices for these items are generally based on the prevailing spot price of the relevant metal plus a premium that reflects fabrication, scarcity, grading, packaging, dealer spread, market conditions, and other factors, and they may be derived from third-party pricing feeds that can be delayed, interrupted, or inaccurate. We may hedge or otherwise manage our metal-price exposure, and the price you are quoted reflects market conditions at a point in time and may no longer be available when your order is processed. Because of this volatility, we reserve the right to confirm current pricing before accepting an order, to decline or cancel an order affected by a pricing error or a significant market move, and to apply the market-loss terms described in our Shipping & Returns Policy to cancellations and returns of bullion and market-priced items.

10. Orders, Order Acceptance, and Our Right to Decline

When you submit an order, you are making an offer to purchase the selected Products at the listed price, subject to these Terms. Your offer is not accepted, and no contract of sale is formed, until we either ship the Products to you or send you a written acceptance. An order confirmation or other acknowledgment that we have received your order is not, by itself, acceptance of your offer.

Elite Coinage Co. reserves the unrestricted right, in its sole and absolute discretion, to refuse, reject, modify, delay, suspend, or cancel any order, in whole or in part, at any time before shipment, with or without prior notice, for any lawful reason. Reasons may include, without limitation:

  • pricing, description, or other listing errors;
  • inventory discrepancies or unavailability;
  • authentication or grading concerns;
  • payment, identity, or fraud-verification concerns;
  • supplier, sourcing, allocation, or fulfillment issues;
  • technical, system, or processing failures;
  • cybersecurity incidents;
  • market volatility or significant changes in precious-metal prices;
  • sanctions, anti-money-laundering, or export-control concerns;
  • events of force majeure or commercial impracticability; or
  • suspected violation of these Terms or applicable law.

If we cancel an order for which you have already paid, your sole and exclusive remedy is a refund of the amount you actually paid for the cancelled Products. We will not be liable for any other loss arising from a refused, cancelled, or modified order, including any difference between the order price and the later market or replacement price.

11. Payment, Verification, and Fraud Prevention

You agree to pay the full price shown at checkout, plus any applicable taxes, shipping, and fees. We use third-party payment processors, and your payment is also subject to their terms. You represent that you are authorized to use the payment method you provide, and you are responsible for any taxes associated with your purchase that we do not collect.

To protect you and us, we and our service providers may verify and screen orders before, during, and after checkout. This can include payment authorization and verification, identity verification, “know your customer” (KYC) checks where appropriate, address and device verification, device fingerprinting, fraud scoring, velocity and pattern analysis, and other risk and fraud-prevention measures. We may request additional information or documentation, hold or delay an order pending verification, and decline or cancel orders that fail verification or that we reasonably suspect involve fraud, unauthorized payment, or unlawful activity. For high-value orders, we may require additional verification, bank wire payment, proof of identity, proof of address, source-of-funds information where appropriate, or other documentation before accepting or shipping an order. Wire transfers, cashier’s checks, ACH payments, and other non-card payments may be subject to additional verification and clearing periods before shipment.

Chargebacks. If you believe there is a problem with an order, please contact us first so we can help—most issues are resolved quickly. Filing a chargeback or payment dispute in bad faith, after you have already received a refund, replacement, or store credit, or while keeping the Product, is a breach of these Terms. We reserve the right to investigate and contest improper chargebacks, to recover amounts owed (including the value of Products not returned and related costs), to withhold or offset refunds against disputed amounts, and to suspend or close accounts associated with chargeback abuse or fraud.

12. Sanctions, Anti-Money-Laundering, and Export Controls

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions or embargo, and that you are not a person with whom U.S. persons are prohibited from dealing—including any party on the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) Specially Designated Nationals list or other applicable restricted-party lists. We reserve the right to refuse, suspend, or cancel any transaction, and to decline to do business with any person, that we believe may involve a sanctioned person, an embargoed country or region, money laundering, terrorist financing, or other prohibited activity, and to take any steps we consider necessary to comply with applicable sanctions and anti-money-laundering laws. You also agree to comply with all applicable U.S. export-control and customs laws and not to export, re-export, or transfer any Product in violation of those laws. We may maintain records of verification activity and report suspicious or prohibited activity where required or appropriate under applicable law.

13. Shipping and Returns

Shipping, delivery, risk of loss, returns, refunds, and chargebacks are governed by our Shipping & Returns Policy, which is part of these Terms. Please review it before ordering.

14. Forym™ and AI-Powered Features

Forym™ is Elite Coinage Co.’s proprietary AI-powered platform for commerce, research, education, product discovery, customer engagement, and customer support. Forym™ is a technology operated by Elite Coinage Co.; it is not a separate company, a registered trade name, a marketplace, a broker, a dealer, an investment adviser, a financial institution, or an appraisal service.

Forym™ and its related features are provided for informational, educational, search, research, product-discovery, and customer-service purposes only. Using Forym™ does not create any fiduciary, advisory, brokerage, agency, or attorney-client relationship, and Forym™ does not act on your behalf or owe you any duty of care beyond what these Terms expressly provide.

AI has real limits. Forym™ relies on artificial-intelligence models, including third-party AI models and infrastructure, and its responses are generated automatically. Forym™ may produce information that is inaccurate, incomplete, outdated, or fabricated (sometimes called “hallucinations”), may misunderstand your request, and may give different answers to the same or similar questions over time as models, data, and prompts change. You are responsible for independently verifying any information—including specifications, grades, populations, availability, pricing, and authenticity—before relying on it or making a purchase. Product pages, written confirmations from our team, and the grading services’ own certifications control over anything Forym™ states. We may change, limit, suspend, or discontinue Forym™ or any feature at any time.

14.1 Ownership of Inputs and Outputs

As between you and Elite Coinage Co., you retain ownership of the prompts, questions, and other inputs you submit to Forym™ (“Inputs”), and you grant us a worldwide, royalty-free license to use them to operate, secure, support, and improve the Services as described in our Privacy Policy. Elite Coinage Co. exclusively owns Forym™ and all of the technology behind it, and owns or licenses the responses, recommendations, and other materials it generates (“Outputs”) as part of the Services. Subject to these Terms, you may use Outputs for your personal, non-commercial purposes, including personal collecting research and ordinary sharing, provided you do not misrepresent them as professional advice or use them to compete with the Services. Because AI systems generate responses statistically, Outputs are not unique—Forym™ may generate the same or similar Outputs for different users, and we make no representation that any Output is original, proprietary to you, or exclusive.

14.2 Using Forym™ Responsibly

Please do not submit sensitive personal information (such as payment card numbers, government identifiers, or financial-account details) or other people’s personal information in your prompts. In addition to the conduct rules in Section 7, you may not use Forym™ to generate unlawful, deceptive, or harmful content; to present Outputs as professional advice; to extract, copy, reverse engineer, or replicate Forym™, its models, or prompts, or to build a competing product or service; or to scrape Outputs at scale or circumvent its security or rate limits. If a response seems inaccurate or concerning, please report it to cs@elitecoinage.com so we can review and improve it.

15. No Investment, Financial, Securities, Portfolio, Legal, Tax, or Appraisal Advice

Elite Coinage Co. never provides investment, financial, securities, portfolio, legal, tax, or appraisal advice, and nothing available through the Services should be understood as any of these. Nothing we publish or that Forym™ generates is portfolio or asset-allocation advice, a recommendation or solicitation to buy, sell, or hold any Product or asset, a prediction of future value, or a guarantee of market performance, liquidity, or resale value.

Collectibles and precious metals carry risk, and their values rise and fall. Past performance is not indicative of future results. You are solely responsible for your purchasing decisions, and we encourage you to consult your own qualified financial, legal, and tax advisors before making decisions that depend on the value or tax treatment of any Product.

15.1 Market Risk and Collectibles

Coins, banknotes, bullion, and related collectibles are subject to market risk, and their values fluctuate—sometimes significantly. You acknowledge that:

  • precious-metal spot prices, and the premiums charged over spot, can rise or fall at any time;
  • population reports, grading standards, designations, and labels can change over time;
  • collector demand and the popularity of any franchise, series, or issue can change;
  • past sale or auction results do not predict future value; and
  • liquidity is not guaranteed—there may be no ready buyer at any particular price or time.

Nothing on the Services guarantees that any Product will appreciate, hold its value, or be resaleable. You buy for your own reasons and at your own risk.

16. Authentication and Grading

Many Products are graded, certified, or stickered by independent third-party services such as PCGS, NGC, CAC, CACG, ANACS, and ICG, among others, and may be accompanied by original mint or manufacturer (OEM) packaging or sealed mint packaging. Grading, certification, and stickering reflect the professional opinion of the issuing service at the time of evaluation. A grade, certification, or sticker is an opinion of condition, authenticity, or eligibility—not a guarantee, and not a statement about a Product’s current or future value, market acceptance, liquidity, or resale price. Grading standards, designations, and population data can change over time. Elite Coinage Co. is not a grading or certification service and does not control, and is not responsible for, the opinions, methodologies, errors, designations, or guarantees of any third party. Any guarantee offered by a grading or certification service is between you and that service under its own terms. Where a Product is described as in original or sealed mint packaging, that packaging should not be opened if its condition matters to you, since opening it may affect the Product’s description, value, and return eligibility.

17. Intellectual Property

The Services and their Content are owned by Elite Coinage Co. or its licensors and are protected by intellectual-property and other laws. This includes, without limitation, the Elite Coinage Co. and Forym™ names, logos, branding, and trade dress, and the software, source code, algorithms, prompts, workflows, recommendation engines, databases, interfaces, APIs, and AI implementations that power the Services. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, reverse engineer, scrape, or create derivative works from any part of the Services or our Content except as expressly permitted or required by law.

Third-party brands, characters, names, and related elements featured in connection with certain Products are the trademarks of their respective owners and are used to describe genuine Products. Their appearance does not imply any endorsement or affiliation.

18. Trademark Usage

“Elite Coinage Co.,” “Forym™,” and our logos, designs, and trade dress are proprietary to Elite Coinage Co. You may not use them—or any confusingly similar names or marks—in any way, including in advertising, domain names, social-media handles, metadata, or to imply sponsorship, endorsement, or affiliation, without our prior written permission. All goodwill arising from any permitted use belongs to Elite Coinage Co.

19. Feedback

If you send us ideas, suggestions, or feedback about the Services or Products—including feature requests and improvements—you agree that we may use them freely, without any obligation, attribution, compensation, or confidentiality. You grant Elite Coinage Co. a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, and exploit your feedback for any purpose, and any product or feature we develop based on feedback is owned exclusively by us.

20. Your Content and Submissions

If you submit reviews, questions, images, or other materials to us or through the Services, you grant Elite Coinage Co. a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, adapt, publish, and display that content in connection with the Services, marketing, advertising, product development, educational content, and our business. You represent that you own or have the rights to what you submit and that it does not violate any law or third-party right. We may remove any submission at our discretion and are not obligated to use or retain it.

21. Copyright Complaints (DMCA)

We respect intellectual-property rights and respond to clear notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Services infringes your copyright, please send a written notice to our designated agent that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and its location on the Services; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on its behalf.

22. Third-Party Services and Links

The Services may rely on or link to third parties—such as payment processors, shipping carriers, grading services, AI infrastructure, analytics and fraud-prevention providers, and external websites. We do not control these third parties and are not responsible for their content, products, practices, or availability. Your dealings with them are governed by their own terms.

23. Website Availability and Changes

We aim to keep the Services available, but we do not guarantee that they will be uninterrupted, timely, secure, or error-free. We may modify, update, suspend, or discontinue all or part of the Services—including for maintenance, upgrades, security, or operational reasons—at any time and without liability to you. Planned or unplanned downtime, interruptions, and changes are a normal part of operating online services.

23.1 Accessibility

We want the Services to be usable by everyone and work toward conformance with recognized accessibility guidelines. If you have difficulty using any part of the Services, please contact us at cs@elitecoinage.com and we will work to help and to improve.

24. Disclaimer of Warranties

Except where the law does not allow it, the Services and Products are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that information (including Forym™ output, descriptions, images, grades, populations, and pricing) is accurate or complete, or that any Product will achieve any particular value, performance, or resale outcome. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

25. Limitation of Liability

To the fullest extent permitted by law, Elite Coinage Co. and its officers, employees, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any of the following—whether or not foreseeable and regardless of the legal theory:

  • lost profits, lost investment opportunities, or lost business;
  • market losses, trading losses, portfolio losses, or declines in the value of any Product;
  • loss in value of, or relating to, precious metals, cryptocurrency, or other assets;
  • tax consequences of any purchase, sale, or holding;
  • errors, inaccuracies, omissions, or “hallucinations” in Forym™ output or other information;
  • pricing errors or order cancellations;
  • authentication or grading opinions or disputes;
  • technology, system, or security failures;
  • acts or omissions of third-party services; or
  • shipping delays, loss, or damage, or events of force majeure.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services or a Product will not exceed the amount you actually paid to us for the Product or transaction giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you; in that case, our liability is limited to the smallest extent permitted by law.

26. Indemnification

You agree to indemnify and hold harmless Elite Coinage Co. and its officers, employees, suppliers, and licensors from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms or any law, or your infringement of any third-party right.

27. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, or to any feature, at any time and for any lawful reason, including a violation of these Terms. Provisions that by their nature should survive termination—such as those on intellectual property, disclaimers, limitation of liability, indemnification, arbitration, and governing law—will survive.

28. Force Majeure

We are not responsible for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil unrest, labor disputes, pandemics, acts of government, utility or telecommunications outages, cybersecurity incidents, precious-metal shortages, government or sovereign mint production or release delays, supplier or refiner allocations, and carrier delays, embargoes, or service suspensions.

29. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

30. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the Effective Date above and, where appropriate, provide additional notice. Changes apply going forward, and your continued use of the Services after an update means you accept the revised Terms. The version in effect when you place an order governs that order.

31. Governing Law, Arbitration, and Class-Action Waiver

Please read this section carefully—it affects your legal rights. It requires most disputes to be resolved by binding individual arbitration rather than in court, and it waives your right to a jury trial and to participate in a class action. You may opt out within 30 days as described below.

Governing law. These Terms and any dispute between you and Elite Coinage Co. are governed by the laws of the State of Florida and, as to arbitration, by the Federal Arbitration Act, in each case without regard to conflict-of-laws rules.

Informal resolution first. Most concerns can be resolved quickly. Before starting an arbitration, you agree to contact us at cs@elitecoinage.com with a written description of your dispute and the relief you seek, and to give us 60 days to resolve it.

Agreement to arbitrate. If we cannot resolve a dispute informally, you and Elite Coinage Co. agree that any dispute, claim, or controversy arising out of or relating to the Services, the Products, or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court. The arbitration will be conducted by a single arbitrator, may take place by video or telephone or in Palm Beach County, Florida, and the arbitrator may award the same individual relief a court could. This agreement to arbitrate is broad, but it does not prevent either party from bringing an individual claim in small-claims court, or from seeking injunctive relief in court to protect intellectual property or the security of the Services. The arbitrator—not a court—has the authority to resolve disputes about the interpretation, scope, applicability, enforceability, or formation of this arbitration agreement, except that the enforceability of the class-action waiver below is for a court to decide.

Class-action and jury-trial waiver. You and Elite Coinage Co. agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate or join the claims of more than one person and may not preside over any form of class or representative proceeding. You and Elite Coinage Co. waive any right to a jury trial. If this class-action waiver is found unenforceable as to a particular claim or request for relief, then that claim or request will proceed in court rather than in arbitration, while all other claims remain in arbitration.

Arbitration fees and costs. The AAA’s Consumer Arbitration Rules and fee schedules govern the cost of arbitration. If you are a consumer, you are responsible only for the consumer’s portion of the filing fee required under the AAA Consumer Arbitration Rules, unless applicable law requires otherwise, and Elite Coinage Co. will pay all remaining AAA administrative and arbitrator fees for any claim that is not frivolous. If you show the arbitrator that these costs would still be prohibitive compared with bringing your claim in court, Elite Coinage Co. will pay as much of your arbitration fees as the arbitrator finds necessary to keep the arbitration from being cost-prohibitive. Each party is otherwise responsible for its own attorneys’ fees and expenses, except that the arbitrator may award fees, costs, or other relief where authorized by applicable law or these Terms.

Your right to opt out. You may opt out of this arbitration agreement within 30 days after you first accept this version of these Terms by emailing cs@elitecoinage.com with the subject line “Arbitration Opt-Out” and including your name and the email associated with your account. Opting out applies only to this arbitration agreement and will not affect any other part of these Terms or your use of the Services. If we later make a material change to this Section, you may reject the change by emailing us within 30 days after it takes effect, in which case the most recent version of this Section that you accepted will continue to apply between us.

Your other rights are preserved. Nothing in this Section prevents you from reporting a concern to, or seeking relief from, a federal, state, or local government agency, and such an agency may seek relief on your behalf. Nothing in this Section waives any right or remedy that cannot be waived under applicable law, and to the extent any part of this Section is unenforceable as applied to a particular claim, the remainder continues to apply.

Courts. For any dispute not subject to arbitration, you and Elite Coinage Co. agree to the exclusive jurisdiction of the state and federal courts located in or serving Palm Beach County, Florida, and consent to venue and personal jurisdiction there.

32. Miscellaneous

These Terms, together with the policies they incorporate, are the entire agreement between you and Elite Coinage Co. regarding the Services and supersede any prior understanding. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision will be limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
